Information for other entities

In addition to the obligation to register for private companies and corporations there are a number of other entities also explicitly inside the scope of the Austrian UBO Act. Accordingly, those other entities also have to register their true ultimate beneficial owner in the UBO register. Those explicitly mentioned other entities are

  • Cooperatives (“Erwerbs- und Wirtschaftsgenossenschaften”)
  • Mutual insurance companies (“Versicherungsvereine auf Gegenseitigkeit”)
  • Small non-life mutuals (“kleine Versicherungsvereine”)
  • Savings banks („Sparkassen“)
  • Foundations and fonds according to § 1 BStFG 2015
  • Foundations and fonds established upon state law, as long as the Austrian UBO Act is deemed applicable according to state law
  • Trusts and trust-like agreements if managed from Austria
  • European economic interest groupings
  • European cooperatives (SCE)
  • other entities whose registration to the company register is mandatory

For these entities the following exemptions from the obligation to register are present:

  • Cooperatives are exempt from the obligation to register as long as no member of the cooperative has a stake of more than 25 % and no person outside the management board excises control over the management board in major decisions
  • Savings banks, mutual insurance companies and small non-life mutual are exempt from the obligation to register as long as no person outside the management board excises control over the management board in major decisions

Apart from the obligation to register in the Austrian UBO register an annual verification of the UBO entry is mandatory, irrespective if the entity is exempt from the obligation to register or not.
